Terms of Service

These Terms of Service (“Terms”) govern your access to and use of The MAX AI Ecosystem (“MAX,” “MAX AI,” “we,” “us,” or “our”), operated by The Tron Forge Limited.

1. About MAX

The MAX AI Ecosystem is a developing family of AI-powered software, connected services, applications, websites, APIs, devices, and experiences. Depending on availability, MAX may include MAX AI, MAX Home, MAX Voice, MAX Cloud, MAX Browser, MAX Connect, MAX Music, MAX Store, MAX Studio, MAX Security, MAX Pay, MAX OS, vehicle-related experiences, family/safety features, and other MAX-branded products.

Not every product or feature described in these Terms is necessarily available yet. Features may be introduced, changed, suspended, limited, tested, or discontinued over time, and availability may vary by country, device, operating system, account, subscription, technical requirements, or beta status.

2. Eligibility

You may use MAX only if you are legally capable of entering into these Terms under the laws applicable to you. Certain features may have additional age, country, device, or payment requirements.

MAX may provide child, teen, family, or parent-managed experiences. Those experiences may have additional rules and parental-consent requirements. A parent or legal guardian is responsible for ensuring that a minor's use is appropriate and authorized where required by law.

3. Your MAX Account

• You are responsible for providing reasonably accurate account information and keeping it up to date.
• You are responsible for protecting your passwords, authentication methods, recovery information, and devices.
• You must not share credentials in a way that compromises your account or bypasses account restrictions.
• You must promptly notify us if you believe your account has been compromised.
• You may not impersonate another person or create an account through deceptive means.
• We may require verification or additional security measures for certain features.

4. Google and Other Authentication Providers

MAX may allow you to sign in using Google or other supported identity providers. Your use of those providers is also subject to their terms and policies. You authorize the provider to authenticate you and provide the account information necessary for MAX to create or maintain your MAX account.

5. MAX Services and Features

5.1 MAX AI

MAX AI provides AI conversation, voice interaction, assistance, personalization, memory, automation, generation, and other tools. AI responses are generated automatically and may be incomplete, outdated, biased, or incorrect. You are responsible for reviewing important outputs before relying on them.

5.2 MAX Voice

MAX Voice may provide wake-word interaction, speech recognition, text-to-speech, hands-free commands, voice profiles, device controls, and future MAX Voice hardware. You are responsible for using voice features safely and lawfully, particularly around other people whose voices may be captured during an interaction.

5.3 MAX Home

MAX Home may connect and control compatible smart-home devices through technologies and services such as Wi-Fi, Bluetooth/BLE, Matter, Alexa, and other supported platforms. MAX Home may include household modes such as Study, Worship, Visitor, Dinner, Family Time, Sleep, Movie, Travel, and Cleaning.

Smart-home automation can fail because of power loss, network failure, device failure, third-party outages, incorrect configuration, latency, software defects, or other circumstances. Do not rely on MAX Home as the sole protection for life, health, property, security, or emergencies.

5.4 MAX Cloud

MAX Cloud may provide storage, synchronization, backups, and access to supported files and ecosystem information. You are responsible for maintaining independent backups of important data where appropriate. Storage limits, retention, synchronization behavior, and available plans may vary.

5.5 MAX Browser

MAX Browser and AI browsing tools may retrieve and process information from websites and other online sources. MAX does not control third-party websites and does not guarantee their availability, accuracy, legality, or security.

5.6 MAX Connect

MAX Connect may allow you to connect third-party accounts and services. You authorize MAX to access the scopes you approve. You remain responsible for your use of the connected service and must comply with that provider's terms.

5.7 MAX Music

MAX Music may operate as an integrated service within MAX AI and MAX Home. Music availability, catalogs, playback, accounts, and licensing may depend on third-party providers, territories, subscriptions, and device compatibility.

5.8 MAX Store

MAX Store may offer physical products, digital products, subscriptions, services, or other offerings. Individual purchases may be governed by additional product, seller, delivery, refund, warranty, or marketplace terms displayed at checkout.

5.9 MAX Pay

MAX Pay may facilitate payments or financial transactions through third-party payment providers. MAX is not a bank or financial institution merely because a payment feature is offered. Payment-provider terms, eligibility requirements, transaction limits, refunds, chargebacks, and financial regulations may apply.

5.10 MAX Security

MAX Security may provide account protection, authentication, alerts, device-security functions, and abuse prevention. Security tools reduce risk but cannot guarantee that an account, device, network, or service will never be compromised.

5.11 MAX Studio

MAX Studio may provide AI-assisted creation and editing. You are responsible for ensuring that content you upload or generate does not violate applicable law or third-party rights.

5.12 MAX OS and MAX devices

Future MAX operating systems and devices may include MAX Orb experiences, applications, voice features, connected services, notifications, sensors, and device controls. Hardware availability, specifications, compatibility, warranties, repairs, and updates may be governed by additional terms provided with the relevant product.

5.13 Vehicle and MAX Car experiences

Vehicle-related MAX features may assist with navigation, media, voice interaction, vehicle information, or other supported functions. You must obey traffic laws and remain responsible for safe vehicle operation. Do not interact with MAX in a way that distracts you while driving.

5.14 SOS and safety features

MAX may provide SOS or family-safety features. These features depend on device permissions, connectivity, location availability, third-party systems, and local emergency infrastructure. They are not guaranteed to contact emergency services or reach a person in every situation. Where possible, users should maintain access to conventional emergency services.

6. Acceptable Use

You agree not to use MAX to:

• Break the law or facilitate unlawful activity.
• Fraud, scam, impersonate, deceive, defraud, or unlawfully obtain money or information from others.
• Attempt unauthorized access to MAX, another person's account, device, network, API, or connected service.
• Probe, scan, exploit, disrupt, overload, reverse engineer, or interfere with the security or operation of MAX except where expressly permitted by law or our written authorization.
• Distribute malware, ransomware, spyware, destructive code, or other malicious software.
• Harass, threaten, stalk, exploit, or intentionally harm another person.
• Generate or distribute content that unlawfully exploits children or facilitates child sexual abuse.
• Infringe copyrights, trademarks, privacy rights, publicity rights, trade secrets, or other intellectual-property rights.
• Use MAX to make high-stakes decisions about another person without appropriate human review where such use is regulated or otherwise inappropriate.
• Misrepresent AI-generated content as human-authored when doing so is unlawful, deceptive, or likely to cause material harm.
• Abuse free trials, promotions, subscriptions, referral systems, credits, APIs, or other usage limits.
• Use automated means to access MAX in a way that bypasses rate limits, authentication, security controls, or published API requirements.
• Use MAX as a substitute for professional medical, legal, financial, emergency, security, or other licensed advice.

7. AI Output and Human Review

MAX can make mistakes. It may produce fabricated facts, incorrect code, misleading summaries, inappropriate recommendations, outdated information, or outputs that resemble existing content. You should independently verify information that could materially affect health, safety, finances, legal rights, employment, education, security, or other important decisions.

MAX output does not automatically represent the views of The Tron Forge Limited. You are responsible for decisions you make based on MAX output.

8. Your Content

You retain rights you already have in content you submit to MAX, subject to the rights necessary for us and our service providers to operate the Services.

You grant The Tron Forge Limited a limited, worldwide, non-exclusive license to host, store, reproduce, transmit, adapt, process, and display your submitted content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the specific MAX services you use, subject to our Privacy Policy and any separate settings or agreements.

You represent that you have the rights and permissions needed to submit content to MAX and authorize this processing.

9. AI-Generated Content

Where MAX generates text, images, audio, video, code, or other content, you may use the output subject to applicable law, third-party rights, product-specific terms, and any restrictions of the underlying model or service.

We do not guarantee that generated output is unique, non-infringing, accurate, or suitable for a particular purpose. Similar or identical outputs may be generated for different users.

10. Memory and Personalization

MAX may offer memory features that allow relevant information to be retained for future interactions. Memory is a convenience feature, not a guarantee that MAX will remember everything or remember information correctly. You are responsible for reviewing and deleting memories when appropriate.

11. Third-Party Services

MAX may rely on third parties for AI models, authentication, hosting, storage, payments, analytics, email, communications, smart-home platforms, music, maps, identity, developer services, and other integrations. Third-party services may have independent outages, restrictions, pricing, policies, and terms.

We are not responsible for independent third-party services, including changes they make that affect a MAX integration. If you connect a third-party account, you are responsible for maintaining any permissions required by that provider.

12. Subscriptions, Paid Features and Trials

Some MAX capabilities may require a paid plan, including future MAX subscription tiers such as MAX Pro or other plans. Before a paid subscription begins, the applicable price, billing period, renewal terms, taxes, limits, and included features should be presented to you.

• Subscriptions may automatically renew if disclosed at purchase and permitted by law.
• You are responsible for keeping payment information current.
• Pricing, plans, usage limits, and features may change with appropriate notice where required.
• Free trials or promotional credits may have eligibility limits and expiration dates.
• Refunds are governed by applicable law and the purchase channel's terms.

13. Payments and Transactions

Payment processing may be performed by third-party payment providers. We may receive transaction information but may not receive or store the full payment credentials handled by the payment processor.

You authorize valid charges associated with purchases or subscriptions you initiate. You must not use stolen, unauthorized, fraudulent, or otherwise invalid payment methods.

14. Intellectual Property

MAX, its software, branding, logos, interfaces, designs, documentation, source code where not expressly licensed, and original MAX content are owned by or licensed to The Tron Forge Limited or its licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted, these Terms do not grant you ownership of MAX's intellectual property. You may not copy, modify, distribute, sell, sublicense, publicly display, or create derivative works from MAX software or branding without appropriate authorization.

15. Feedback

If you voluntarily provide suggestions, ideas, bug reports, feature requests, or other feedback, you allow us to use that feedback without compensation or obligation to you, including to develop, improve, and promote MAX, unless applicable law provides otherwise.

16. Beta, Experimental and Future Features

MAX may offer beta, preview, experimental, invitation-only, or unreleased features. These features may be incomplete, unstable, changed without notice, unavailable at times, or removed entirely. Unless separately stated, beta features are provided for testing and feedback rather than guaranteed production availability.

17. Service Availability

We will make reasonable efforts to keep MAX available, but we do not guarantee uninterrupted or error-free operation. MAX may be unavailable because of maintenance, upgrades, outages, security incidents, internet failures, third-party failures, device limitations, regional restrictions, force majeure events, or other circumstances outside our reasonable control.

18. Suspension and Termination

You may stop using MAX at any time and may request account deletion subject to the Privacy Policy and applicable law.

We may suspend, restrict, or terminate access where reasonably necessary to protect users, the ecosystem, third parties, our systems, comply with law, address abuse or security threats, enforce these Terms, or discontinue a service. Where appropriate and legally permitted, we may provide notice and an opportunity to resolve the issue.

Termination does not automatically eliminate obligations that by their nature should survive termination, including intellectual-property provisions, payment obligations, disclaimers, limitations of liability, dispute provisions, and applicable rights concerning stored records.

19. Privacy

Our Privacy Policy explains how MAX may collect, use, disclose, retain, and protect information. By using MAX, you acknowledge that you have had an opportunity to review the Privacy Policy.

20. Security and Responsible Use

You must not attempt to circumvent security controls, authentication, rate limits, access restrictions, or technical safeguards. If you discover a security vulnerability, please report it responsibly through our official contact channels rather than exploiting or publicly exposing it before we have an opportunity to investigate.

21. Disclaimers

To the maximum extent permitted by applicable law, we disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and availability. Nothing in these Terms excludes a warranty or consumer right that applicable law does not allow us to exclude.

22. Limitation of Liability

To the maximum extent permitted by applicable law, The Tron Forge Limited and its officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, business opportunities, or expected savings arising from or related to MAX.

Where permitted by law, our aggregate liability for claims arising from the Services will be limited to the amount you paid to The Tron Forge for the relevant MAX service during the period specified by applicable law or, where no such period is specified, the preceding twelve months. This limitation does not apply to liability that cannot lawfully be limited or excluded.

23. Indemnification

To the extent permitted by applicable law, you agree to defend and indemnify The Tron Forge Limited and its affiliates, personnel, and service providers against claims, losses, liabilities, damages, costs, and reasonable expenses arising from your unlawful use of MAX, violation of these Terms, infringement of another person's rights, or content you submit where your conduct caused the claim.

24. Governing Law and Disputes

These Terms are intended to be governed by the laws applicable to The Tron Forge Limited and the relevant user, with Nigerian law applying to matters for which it is applicable. Nothing in this section removes mandatory consumer, privacy, or other legal protections that cannot lawfully be waived.

Before commencing formal proceedings, the parties should make reasonable efforts to resolve a dispute through good-faith communication using the official MAX contact channels, unless urgent legal relief or applicable law requires otherwise.

25. Changes to These Terms

MAX will evolve. We may update these Terms to reflect new features, services, legal requirements, security practices, pricing structures, or changes to the ecosystem. For material changes, we intend to provide reasonable notice where required. The updated Terms will identify the effective or last-updated date.

Your continued use of a MAX service after updated Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree with a material change, you should stop using the affected service.

26. General Terms

• If part of these Terms is found unenforceable, the remaining provisions will continue to the extent permitted by law.
• Our failure to enforce a provision immediately does not waive our right to enforce it later.
• You may not transfer your account or obligations under these Terms without authorization, except where applicable law permits it.
• We may assign or transfer our rights and obligations in connection with a corporate transaction, restructuring, or transfer of a service, subject to applicable law.
• These Terms, together with applicable product terms and the Privacy Policy, form the agreement governing your use of MAX to the extent applicable.
